1) Scope of Application
1.1 These General Terms and Conditions (hereinafter “GTC”) of DA LICENCES (RCS Versailles 511 678 096) apply to all contracts concluded between the seller and the customer relating to the sale, delivery, or temporary transfer of digital or non-digital products (hereinafter “products”).
1.2 These GTC apply to both consumers and business customers. Specific provisions may differ where indicated.
1.3 These GTC also apply to future contractual relationships between the seller and the customer.
1.4 “Digital content” refers to digital offers such as access codes or product keys.
1.5 “Digital products” refer to software delivered electronically (download).
1.6 “Non-digital products” refer to physical goods (e.g., software on physical media).
1.7 By completing an order, the customer accepts these GTC.
2) Conclusion of the Contract
2.1 Product listings do not constitute binding offers.
2.2 The customer submits a binding offer by completing the checkout process and clicking “Buy Now.”
2.3 The customer may correct input errors before confirming the order.
2.4 The contract text is stored and sent to the customer (e.g., via email).
2.5 The seller may accept the offer within 5 days by delivery or payment request.
2.6 If not accepted within this period, the offer is considered rejected.
2.7 The contract language is French.
2.8 The customer must ensure email deliverability (including spam filters).
2.9 Product availability is not guaranteed; the seller will inform the customer if unavailable.
3) Subject Matter of the Contract
3.1 The seller provides products and, where applicable, ancillary services.
3.2 For non-digital products, delivery is based on product descriptions.
3.3 For digital products:
- a) Permanent software transfer (purchase)
- b) Temporary software transfer (rental)
3.4 Digital content is provided electronically and subject to usage conditions.
3.5 Services are only provided if explicitly agreed.
3.6 Delivery terms are defined in Section 9.
3.7 Additional costs may apply if the customer fails to cooperate.
3.8 Delivery depends on supplier availability.
4) Rights Granted for Software Purchase
Upon full payment, the customer receives a non-exclusive, unlimited usage right.
- Installation and normal use are permitted
- Resale to third parties is allowed under conditions
- Copying is limited to backup purposes
- Sub-licensing or public distribution is prohibited
5) Rights Granted for Software Rental
Usage rights are:
- Limited in time
- Non-transferable and non-exclusive
All redistribution, resale, or public access is strictly prohibited.
6) Customer Obligations
The customer must:
- Protect products from unauthorized access
- Provide necessary information for contract execution
- Cooperate with the seller when required
7) Right of Withdrawal
No right of withdrawal applies once the software is delivered and activated, in accordance with French Consumer Law.
8) Prices and Payment Terms
8.1 Prices include VAT unless stated otherwise.
8.2 Additional fees (e.g., customs, banking fees) may apply outside the EU.
8.3 Payment methods are displayed at checkout.
8.4 Bank transfer payments are due immediately unless agreed otherwise.
8.5 PayPal payments are subject to PayPal terms.
8.6 Invoice payments must be settled within the specified timeframe.
8.7 SEPA direct debit payments are processed after notification.
8.8 Late payments may incur interest and recovery fees.
9) Shipping and Delivery
9.1 Delivery is made to the email address provided by the customer.
9.2 Digital products are delivered via download links or license keys by email.
10) Retention of Title
Ownership of non-digital products remains with the seller until full payment is received.
11 & 12) Warranty
Warranty terms vary depending on the type of contract:
- Standard warranty for new products
- Limited warranty for used products
- Exclusions for misuse, modification, or incompatible environments
13) Liability
The seller is liable for:
- Intentional misconduct or gross negligence
- Personal injury damages
Liability for minor negligence is limited to foreseeable damages.
14) Promotional Vouchers
- Valid only within the specified period
- Non-refundable and non-exchangeable
- Only one voucher per order
15) Final Provisions
15.1 Assignment of rights requires prior written consent.
15.2 Invalid provisions do not affect the validity of the contract.
15.3 French law applies (excluding CISG).
15.4 French courts have jurisdiction (except for consumers).
